Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the services provided by Jupi Websites ("we", "us", or "our"), operating from Gold Coast, Queensland, Australia. By engaging our services or using our website, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

Services Provided

Jupi Websites provides professional web design, development, SEO, website management, and related digital services. Our services include but are not limited to:

  • •Search engine optimization (SEO) and growth strategies
  • •Website maintenance and management
  • •Custom web application development
  • •Web hosting and infrastructure services

Specific services, deliverables, timelines, and fees will be detailed in individual service agreements or proposals. All project-based work includes a maximum of 2 rounds of revisions. Additional revision rounds may be quoted separately.

Payment Terms

Pricing and Invoicing

All prices are quoted in Australian Dollars (AUD) unless otherwise specified. Invoices will be issued according to the payment schedule outlined in your service agreement. Standard payment terms are 7 days from the invoice date unless otherwise agreed in writing.

Payment Methods

We accept payment via bank transfer, credit card, or other methods as agreed. All payments must be made in full by the due date specified on the invoice.

Late Payments

Late payments may incur interest charges at a rate of 2% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.

Deposits and Project Milestones

For project-based work, we typically require a deposit before commencing work. Payment milestones will be outlined in your service agreement, and work will progress upon receipt of milestone payments.

Intellectual Property

Client Content

You retain all rights to content, materials, and information you provide to us. By providing such materials, you grant us a license to use, reproduce, and modify them solely for the purpose of delivering our services to you.

Deliverables

Upon full payment, you will own the final deliverables as specified in your service agreement. This includes custom designs, code, and content created specifically for your project. We retain the right to use project work in our portfolio unless otherwise agreed.

Third-Party Resources

Some projects may incorporate third-party software, themes, plugins, or resources. These remain the property of their respective owners and are subject to their own license terms.

Our Intellectual Property

All proprietary methods, processes, tools, and frameworks developed by Jupi Websites remain our exclusive property.

Client Responsibilities

To ensure successful project delivery, clients are responsible for:

  • •Providing timely access to necessary materials, information, and resources
  • •Responding to requests for feedback and approvals within agreed timeframes
  • •Ensuring all provided content is accurate, legal, and does not infringe on third-party rights
  • •Making timely payments according to the agreed schedule
  • •Maintaining the security of login credentials and access information

Warranties and Disclaimers

We strive to deliver high-quality services and will make reasonable efforts to ensure your website functions as intended. However, we make no guarantees regarding specific results, rankings, or traffic levels.

Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Jupi Websites shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • •Your use or inability to use our services
  • •Any unauthorized access to or use of our servers and/or any personal information stored therein
  • •Any interruption or cessation of transmission to or from our services
  • •Any bugs, viruses, or other harmful code that may be transmitted through our services by any third party

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us for the specific service giving rise to the claim.

Termination

Either party may terminate ongoing services with written notice as specified in the service agreement. For monthly services, a minimum of 30 days' notice is typically required.

We reserve the right to suspend or terminate services immediately if you breach these Terms, fail to make payments, or engage in conduct that we reasonably believe may harm our business or reputation.

Upon termination, you remain responsible for payment of all fees for services rendered up to the termination date. Any prepaid fees for services not yet delivered may be refunded on a pro-rata basis at our discretion.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This obligation survives the termination of services.

Indemnification

You agree to indemnify and hold harmless Jupi Websites from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms, your use of our services, or your violation of any law or third-party rights.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email or through our website. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between you and Jupi Websites regarding the use of our services and supersede all prior agreements and understandings.
